I am looking for potential participants for my thesis in part completion of Information Systems Honours at UCT.


Would you be willing to participate by completing an online survey on the study of the impact of social networking sites (SNS) in small and medium enterprises (SMEs). The SNS that this research will focus on are Twitter, Facebook, LinkedIn and Pinterest.


I hope to learn how SMEs are using SNS, to describe how SMEs are managing their SNS platforms and to explore the impacts, both positive and negative, of using SNS in SMEs. You were selected as a possible participant in this study because of the size of your organisation coupled with the use of SNS within your organisation.

I'm a corporate and commercial attorney. I now offer a full legal service to entrepreneurs for no upfront fee. I take an equity position in the project, which may be closed out if the company is successful.

There have been times in my career when I have sat opposite a young entrepreneur who has just finishing explaining to me her brilliant idea. She would have come to me for assistance. She'd have explained that she needs to set up a company and that she needs ……

She would have needed a shelf company, a memorandum of incorporation, a shareholders agreement, a confidentiality / non-disclosure / non-circumvention agreement, some kind of intellectual property license agreement, advice on copyright and some answers in relation to the protection of her ideas.

A typical quote from a corporate law firm would look like this:

  • a customized shelf company – R 7 500.00
  • a customized memorandum of incorporation – R 12 500.00
  • a shareholders agreement – R 12 500.00
  • a confidentiality / non-disclosure non-circumvention agreement – R 7 500.00
  • intellectual property licenses - R 7 500.00 - R 15 000.00
  • advice on copyright and intellectual property - R 10 000.00 (four hour preparation and an hour of consultation)
  • registration of a trade mark – R 32 000.00
  • company secretarial support – R 2 000.00 per hour
  • protection of ideas R 3 000.00 (one hour preparation and an half an hour of consultation).

Before she even starts, the bill is almost R 50 000.00. And that does not take into account telephone calls, postage and petties (whatever that is), correspondence charges (a six minute phone call costs R200.00, a seven minute phone call costs R400.00) printing costs and other charges, disbursements and fees.

As I articulate the costs involved I watch her face implode and the brow furrow … and I think to myself, "what a waste of time, she will never be able to afford the fees that this firm charges..." And by the way, the quote above is conservative. And by the way, you cannot copyright an idea. And by the way, good ideas go bad without legal support.

Associates in the large law firms are incentivized to record billable hours. In order to become a partner in a top corporate law firm, you will be expected to bill and recover about R 15 million rand in the three years proceedings elevation to partnership. Associates are actually discouraged by the incentive to take on small matters, and if they do, they "charge like a wounded bull". Get it?
